TERMS AND CONDITIONS
FRANCHISE HOTEL ANNUAL SUBSCRIPTION FOR JOB POSTING PROGRAM SERVICES

These Terms and Conditions constitute a legally binding agreement between the User (defined below) and Marriott International Administrative Services, Inc. (“Marriott”) (collectively, the “Parties,” and each individually, a “Party”) (hereafter, the “Agreement”).
User agrees to be bound by this Agreement, including any amendments that may be made to it from time to time. You warrant and represent that you are authorized to agree to all terms and conditions of this Agreement on User’s behalf and to bind User to its terms.
- Introduction. This Agreement applies to User’s participation in a job posting program made available by Marriott pursuant to which User may post on the www.marriott.com careers website (or any successor website designated by Marriott) (“MI Careers Site”) an unlimited number of advertisements for available job opportunities exclusively at hotels owned or operated by User or its Affiliates (as defined below) under franchise agreements with Marriott International, Inc. or its Affiliates (“Hotels”) (hereafter, the “Program”).
- “You” or “you” means any individual, entity or organization subscribing to the Program on behalf of a User. “User” means you, and any entity or organization which posts, directly, or in conjunction with, on behalf of or through you, any Hotel job opportunities on the MI Careers Site. “Affiliate” means for any Party, an individual, entity or organization directly or indirectly controlling, controlled by, or under common control or ownership with such Party.
- Program Services. The MI Careers Site, including all content pages on the MI Career’s Site, is hosted by a third party (currently, Paradox LLC) (the “Host”). During each Participation Period (defined below), and in exchange for the Fee (defined below), User will participate in the Program. As part of the Program, the Host will be responsible for updating content on the MI Career’s Site for User. User acknowledges that its participation in the Program is optional and is not required under any franchise or license agreement with Marriott International, Inc. or its Affiliates.
- Program Pre-requisites. User will obtain and maintain for the duration of the Participation Period an applicant tracking system that is compliant with applicable law to process all job postings. User will coordinate with the Host to publish job postings on the MI Careers Site.
- Fee for Services. Upon enrollment in the Program, User will pay an annual subscription fee (the “Fee”) of $7,500 to participate in the Program. This Fee will be directly billed to User via Marriott’s monthly franchise bill. For any automatically renewed Participation Period (see below), the Fee will be the amount then in effect as determined by Marriott. Marriott will provide User with advance written notice of any Fee adjustment.
- Participation Period and Automatic Renewal. User’s participation in the Program will be effective for an initial period of twelve (12) months starting on the date the Program is live on the MI Careers Site and, unless prohibited by applicable law, will automatically renew for additional consecutive 12-month periods (each, a “Participation Period”) at the then current Fee, unless User provides Marriott at least sixty (60) calendar days’ prior written notice of non-renewal. If user provides timely notice of non-renewal, this Agreement will terminate at the end of the then-current Participation Period. - Early Termination. Notwithstanding the paragraph above, this Agreement will terminate earlier upon the first to occur of: (i) either Party providing ten (10) days’ prior written notice of termination, or (ii) automatic termination without notice upon the termination or expiration of the franchise agreements for every Hotel owned or operated by User. If User’s participation in the Program terminates prior to the expiration of the then-current Participation Period,User will not be entitled to any refund of the Fee in whole or in part. Marriott will have the right to immediately remove User’s job postings upon expiration of the then-current Participation Period.
- Independent Contractor Relationship. User acknowledges and agrees that User is an independent contractor, and nothing in this Agreement shall be construed as creating a partnership, joint venture, agency relationship or joint employer relationship between User and Marriott, Marriott International, Inc., and their Affiliates, and each of their respective predecessors, successors, assigns, current and former directors, officers, shareholders, subsidiaries, employees and agents (the “Marriott Parties”). User acknowledges and agrees that all activities and decisions regarding terms and conditions of employment with at the Hotels, including but not limited to, wages, benefits, hours of work, hiring, discharge, discipline, supervision, and assignment of work schedules, positions, and tasks, are made exclusively by User or its Affiliates, and that the Marriott Parties are not involved in and do not possess or exercise authority or control over such activities and decisions. The Marriott Parties are not responsible for and disclaim any liability for actions taken or not taken by User or its current, former, or prospective officers, directors, employees or affiliates (the “User Parties”) arising from or relating to this Program, in whole or in part.
- Authorized Use. User will use the MI Careers Site exclusively to post job listings for open positions at Hotels operating under current and effective franchise agreements with Marriott International, Inc. or its Affiliates, and not for any other hotels or businesses or for any other purpose. User’s right to use and access the MI Careers Site will be revoked automatically at Marriott’s or Host’s sole discretion if User or any User Parties (a) act or fail to act in a manner which Marriott determines in its sole discretion may pose material risk to the Marriott Parties, or (b) use the MI Careers Site for any improper or unauthorized purpose, including, without limitation, by (i) accessing the MI Careers Site by any means other than the interface provided by Host or otherwise authorized in writing by Marriott and or Host, (ii) providing any information, code or data with the intent or effect of damaging or interfering with the proper functioning of the MI Careers Site, or (iii) bypassing any MI Careers Site or Host security measures or limitations.
- Job Posting Content. User acknowledges and agrees that:
- User is solely responsible for the content of job postings of User and its Affiliates. The Marriott Parties have no control over such content. The Marriott Parties will not be responsible and disclaim any and all liability for any and all content in job postings of User or its Affiliates, including without limitation, misrepresentations, errors or omissions in any job postings, such as incorrect salary information.
- All job postings will clearly identify the correct employer entity and include a notice in a form acceptable to Marriott stating that: (i) User or its Affiliate is the employer and that the Hotel is owned by an independent franchisee; (ii) User is an entity that is separate and distinct from Marriott International, Inc. and its Affiliates; (iii) the applicant will be an employee of the User or its applicable Affiliate, and not Marriott International, Inc. or its Affiliates; (iv) all activities and decisions regarding terms and conditions of employment at the Hotels, including but not limited to, wages, benefits, hours of work, hiring, discharge, discipline, supervision, and assignment of work schedules, positions, and tasks, are made exclusively by User or its Affiliates, and that the Marriott Parties are not involved in and do not possess or exercise authority or control over such activities and decisions; and (v) the applicant’s information will not be provided to or accessible by Marriott International, Inc. or its Affiliates.
- Each job posting will be truthful, accurate, complete, and up-to-date, and will not include any content that is unlawful, false, misleading, fraudulent, discriminatory, threatening, abusive, defamatory, obscene, harmful, or harassing. Job postings will not contain any proprietary information, confidential information, or trade secrets of any persons or entities.
- Each job posting will comply with applicable law including, without limitation, anti-discrimination laws, privacy laws, wage/hour laws, and laws relating to pay and/or benefits transparency. To the extent required by applicable law, User will include in each posting a statement that the hiring employer is an equal employment opportunity employer and will disclose applicable salary ranges and a description of other compensation and benefits to be made available under the position.
- Each job posting will include instructions for applying for positions directly with User or its Affiliates, and not the Marriott Parties.
- Marriott reserves the right to reject, remove or limit visibility of any job posting at its discretion without notice to User.
- No Representations or Warranties. Marriott makes no representations, warranties or guarantees of any kind or nature with respect to the Program or User’s use of the MI Careers Site, including but not limited to, the following:
- Marriott makes no representations as to the accessibility of the MI Careers Site. Marriott does not warrant its advertisement of User’s job postings on the MI Careers Site is compliant with the Americans with Disabilities Act (the “ADA”) or any equivalent or similar law.
- Marriott is not responsible for and disclaims any and all liability if User’s account credentials are used improperly or falsely by a third party.
- Marriott is not liable for any service disruptions or outages that result in User’s job postings not being available on the MI Careers Site. Marriott disclaims any and all liability for technical malfunctions of the MI Careers Site or relating to this Program.
- Marriott is not responsible for maintaining or storing job postings on User’s behalf. User is responsible for its own compliance with any applicable record retention requirements.
- Marriott makes no representations or warranties with respect to User’s ability to secure job applicants through the MI Careers Site.
- Limitations on Liability. IN NO EVENT SHALL THE MARRIOTT PARTIES BE LIABLE TO USER OR ITS AFFILIATES, OR THEIR JOB APPLICANTS, OR THEIR CURRENT, PROSPECTIVE, OR FORMER EMPLOYEES, FOR ANY LOSS OR INJURY OR ANY DAMAGES FOR ANY REASON, EITHER DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR OTHERWISE (INCLUDING, BUT NOT LIMITED TO, LOST PROFITS OR LOST SAVINGS) RESULTING FROM OR IN ANY WAY CONNECTED TO USER’S PARTICIPATION IN THIS PROGRAM OR THE TERMS OF THIS AGREEMENT
- Indemnification. User agrees to indemnify and hold harmless the Marriott Parties and their respective subsidiaries, affiliates, and each of their respective current and former officers, directors, shareholders, agents, representatives and employees, and all other persons or entities acting on their behalf, from and against any and all actions, costs, claims, losses, expenses and/or damages, including attorney’s fees, asserted by third parties, arising out of or relating to this Agreement, the Program, or any other action contemplated by this Agreement.
- Confidentiality. “Confidential Information” shall mean any non-public information of Marriott that is designated as confidential, or that User knows or reasonably should know is confidential or proprietary because it derives independent value from not being generally known to the public. Without limiting the generality of the foregoing, Marriott’s Confidential Information shall include Marriott materials and information regarding Marriott’s vendors (including Host), customers, sales, marketing, personnel matters, or means of doing business. The terms and conditions of this Agreement shall be considered Marriott Confidential Information. User will not at any time disclose to any person or use, for its own benefit or the benefit of anyone, Confidential Information of Marriott without the prior written consent of Marriott. User shall limit disclosure of Confidential Information to its: (i) employees or agents who have a legitimate business need to know; (ii) third party auditors or consultants who have a need to know in order to perform their respective contractual obligations for User who are subject to a confidentiality agreement, or in the case of a User’s employees, confidentiality policies, that in either case protects the Confidential Information of Marriott in a manner consistent with the terms of this paragraph. Upon Marriott’s request, User shall promptly deliver to Marriott or destroy any and all Confidential Information in its possession or under its control, and any copies made thereof which User may have made. User acknowledges and agrees that a breach of its obligations under this paragraph may cause harm to Marriott for which monetary damages are not a sufficient remedy. In such event, User understands and agrees that Marriott shall be entitled to seek to obtain from a court of appropriate jurisdiction immediate injunctive or other equitable relief to which it may be entitled under the circumstances in addition to other remedies allowed under this Agreement and under applicable law.
- No Waiver. Marriott’s failure to act with respect to a breach of this Agreement by User or others does not waive its right to act with respect to subsequent or similar breaches.
- Disputes and Choice of Law. Any disputes arising out of or related to this Agreement and User’s participation in the Program shall be governed by, construed and enforced in accordance with the laws of the State of Maryland, excluding its conflict of law rules. Marriott and User each hereby absolutely, irrevocably and unconditionally waive trial by jury in any litigation, action, claim, suit or proceeding, at law or in equity, arising out of, pertaining to, or in any way associated with the terms of this Agreement.
- Partial Invalidity. If any portion of any term or provision of this Agreement, or the application thereof, to any person or circumstance shall be invalid or unenforceable, at any time or to any extent, the remainder of this Agreement, or the application of such term or provision to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected thereby, and each term and provision of this Agreement shall be valid and be enforced to the fullest extent permitted by law.
- Survival of Provisions. The terms and provisions of this Agreement that by their sense and context are intended to survive the performance thereof or hereof by either Party or both Parties hereto shall so survive the completion of performance and termination or expiration of this Agreement, including, but not limited to, sections concerning Confidentiality, Representations and Warranties, Indemnification, and Limitation of Liability and making of any payments due hereunder.
- Notice of Changes. Marriott reserves the right to adjust the terms and conditions of User’s participation in this Program and will provide User reasonable advance notice of any such changes in writing before they take effect. User’s continued participation in the Program shall be deemed acceptance of any modified terms and conditions.
- Entire Agreement. This Agreement constitutes the entire agreement between the Parties relating to the Program and supersedes all prior understandings and writings.
